Rohan is an Associate Partner in the General Corporate & Commercial, Labour & Employment and M&A practices at LKS.
He has 8 years of experience in advising clients on complex legal issues, across various sectors including manufacturing, real estate, e-commerce, healthcare and pharmaceuticals, food and beverages, business consultancy, technology, and media and entertainment.
His practice spans IT and data privacy laws, corporate & commercial laws, labour & employment laws, foreign investment laws (India entry structuring), energy and environmental laws, Indian company law, and sector-specific regulatory laws.
Rohan regularly advises on complex commercial transactions, guiding clients on the formation, operation, negotiation and termination of these deals, supporting them in structuring and negotiating contracts and managing the relationship with business partners.
His work spans technology licensing, IP assignments, software development and subscription arrangements; manufacturing, supply, and service arrangements; business collaborations, sales and distribution arrangements; power purchase arrangements; and real estate transactions.
In his M&A practice he is regularly involved in drafting, reviewing and negotiating share subscription agreements, share purchase agreements, shareholder agreements, business transfer agreements, and joint venture agreements.
He works closely with business teams, leveraging his experience across different industries, to provide pragmatic, business-oriented legal solutions.
Rohan has assisted several clients with navigating the transition to the new labour codes, including advising on compliance strategies, reviewing and revising contracts and policies, conducting impact assessments, and guiding organisations through structural and operational changes to ensure alignment with the new regulatory regime.
He also regularly advises on a wide range of employment law issues for both white-collar and blue-collar employees, including employee exits, provision of employee benefits and salary structuring, and employment law aspects in business restructuring.
He routinely drafts and negotiates employment contracts, HR handbooks, exit documents, consultancy agreements, non-disclosure agreements, intellectual property waivers, non-disparagement undertakings, and confidentiality, non-compete and non-solicitation obligations, while also supporting clients in navigating restrictive covenants and employment-related pre-litigation proceedings.
